By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

Subject to your compliance with these Terms and payment of applicable fees, Uprankon grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes.

Access to the Service is provided on a subscription basis. Current pricing and plan details are available on our website and may be updated from time to time.
Subscription fees are billed in advance on a monthly or annual cycle, as selected at the time of purchase. All fees are stated in U.S. dollars. You authorize Uprankon (or its payment processor) to charge your designated payment method on a recurring basis.
We reserve the right to modify our pricing at any time with at least 30 days' prior notice. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.
You are responsible for all applicable taxes, levies, or duties imposed by any taxing authority in connection with your use of the Service, excluding taxes on Uprankon's income.
All fees paid to Uprankon are non-refundable. Please refer to our Refund Policy for the complete terms governing refunds.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
All content, features, and functionality of the Service — including but not limited to software, code, text, graphics, logos, and data — are and remain the exclusive property of Uprankon LLC and its licensors. These are protected by U.S. and international copyright, trademark, patent, and other intellectual property laws.
You retain ownership of any data or content you submit to the Service ("Customer Data"). By submitting Customer Data, you grant Uprankon a limited, non-exclusive license to process and use it solely to provide and improve the Service.
The Service may integrate with or link to third-party platforms, APIs, and services (e.g., AI model providers). Uprankon is not responsible for the performance, availability, accuracy, or content of any third-party service. Your use of third-party services is subject to their own terms and privacy policies.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
UPRANKON DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UPRANKON LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL — ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UPRANKON'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO UPRANKON IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
You agree to defend, indemnify, and hold harmless Uprankon LLC and its members, managers, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination:
You may cancel your account at any time through your account settings. Cancellation does not entitle you to any refund of prepaid fees.
We reserve the right to update or modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date at the top of this page and, where appropriate, via email or in-app notification. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, the dispute shall be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), with arbitration conducted in Wyoming or via videoconference by mutual agreement. The arbitrator's decision shall be final and may be entered as a judgment in any court of competent jurisdiction.
You waive any right to participate in a class-action lawsuit or class-wide arbitration.
